Terms of Service

These Terms govern your use of the Handshake platform, its interactive collaboration workspaces, and client-agency milestone alignment features.

1. Acceptance of Terms

By registering an account, creating or joining a workspace, or using any feature of the Handshake application (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing Handshake on behalf of a company, agency, or corporate client, you represent that you have authority to bind that entity to these Terms.

2. The Handshake Platform & Scope

Handshake provides an integrated workspace portal combining real-time team messaging, milestone-driven task checklists, media collaboration tools (time-coded video scrubbing and image canvas coordinate pin annotations), and private cloud asset storage.

The primary objective is to keep agency creative contributors, leadership, and external clients aligned in one transparent channel.

3. Account Roles & Security

Access within Handshake is partitioned into four distinct permission tiers:

Owner (Agency Director)

Full administrative authority. Can create workspaces, configure custom branding tokens, invite members, transfer ownership, and delete workspaces.

Staff (Creative Contributor)

Uploads master media files, manages milestone deliverables, and answers client revision requests.

Client (Approver / Stakeholder)

Client lead who reviews assets, places time-coded feedback, and checks off delivery milestones.

User (Team Member)

Project manager or delivery collaborator participating in task progress and channel communications.

You are responsible for safeguarding your login credentials and for all activities occurring under your account.

4. Running Agreements & Milestone Approvals

The Principle of The Running Agreement

In Handshake, the chat stream and milestone checklists function together as a living record of project alignment. When an authorized user checks off a task milestone (e.g. "Review Initial Wireframes" or "Final Deliverables Sign-off"), the action produces an immutable system announcement in the chat stream.

While Handshake preserves this verified history to avoid client-agency disputes, the legal enforceability of any contractual deliverable remains governed by your external Master Services Agreement (MSA) or statement of work.

5. Intellectual Property & Deliverables

  • Your Content: You and your clients retain all copyright, patent, trademark, and other proprietary rights in the materials, logos, copy, designs, and video reels uploaded to Handshake.
  • License to Handshake: You grant Handshake only the limited, revocable license strictly required to host, store, stream, and render your files to authorized members of your workspaces.
  • Handshake IP: The Handshake software, user interface design, logos, brand elements, and codebase are the proprietary property of Handshake and its licensors.

6. Live Media Collaboration & Annotations

Handshake includes a Live Media Collaboration Suite enabling timestamped video timeline scrubbing and canvas pin feedback. Users agree to:

  • Provide constructive, professional feedback within collaborative review sessions.
  • Not delete or tamper with annotations placed by other team members unless authorized as an agency Owner or Staff member.

7. Vault Storage & File Policies

Files uploaded to the handshake-vault must comply with platform parameters:

  • Supported formats: PNG, JPEG, SVG, GIF, MP4, WebM, PDF, ZIP, and audio recordings.
  • Maximum single file size limit is currently 100MB per object.
  • Workspaces exceeding reasonable storage thresholds may be subject to fair-use bandwidth limits or custom enterprise storage arrangements.

8. Acceptable Use & Conduct

You agree not to engage in any of the following prohibited behaviors:

  • Uploading malware, malicious code, or unauthorized spyware.
  • Attempting to bypass PostgreSQL Row Level Security (RLS) policies or probe system vulnerabilities.
  • Scraping or harvesting user email addresses or confidential briefs without consent.
  • Uploading material that infringes any third party's intellectual property or privacy rights.

9. Warranty Disclaimers & Liability Limits

Provided "As Is"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. Handshake does not warrant that the Service will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, Handshake shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues resulting from your use of the platform.

10. Termination & Workspace Deletion

Workspace owners may delete their workspaces or terminate their account at any time. Handshake reserves the right to suspend or terminate accounts that violate these Terms or threaten platform integrity.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Handshake operates, without regard to conflict of law principles. Parties agree to resolve disputes informally before initiating formal arbitration or legal proceedings.
